ICD Vietnam Industrial Production Company Limited has issued this Business Integrity and Code of Ethics to establish transparent, fair standards of conduct across every area of its operations, applied uniformly to all personnel and every party working with the Company.
I. SCOPE OF APPLICATION
Applies to the Board of Directors, all ICD Vietnam employees, and every party dealing with the Company: customers, suppliers, contractors, agents, transport partners, consultants, and intermediaries.
II. GENERAL PRINCIPLES
- Honesty, transparency, and fairness in every transaction.
- Business decisions are based on quality, price, delivery time, and actual capability, never on personal relationships or hidden benefits.
- Every transaction must have valid documentation that reflects its true nature and is fully recorded in the accounting books.
III. ANTI-BRIBERY AND ANTI-CORRUPTION
- Strictly prohibited: offering, accepting, proposing, or promising cash, personal commissions, hidden discounts, high-value gifts, entertainment, travel, or any other benefit intended to influence a business decision.
- Any form of “facilitation payment” to government authorities is strictly prohibited.
- Courtesy holiday gifts of token value must be disclosed and reported to the direct manager.
IV. RELATIONSHIP WITH SUPPLIERS
- Suppliers are selected through a competitive quotation process with transparent evaluation.
- Suppliers must not collude, fix prices, falsify documentation, or supply goods that do not match the agreed specification or origin.
- Suppliers must not bribe, solicit, or recruit staff from ICD Vietnam’s Purchasing, Technical, Logistics, or Accounting departments during the cooperation period and for 12 months after it ends.
- ICD Vietnam’s pricing, drawings, technical specifications, and commercial terms must be kept confidential.
V. RELATIONSHIP WITH CUSTOMERS
- Product information (plastic pallets, wooden pallets, packaging solutions) is presented honestly regarding specification, load capacity, material, and origin, with no misleading advertising.
- No personal commission is paid to a customer’s purchasing staff in any form. Any discount must appear on the contract and invoice, and be transferred to the corporate account.
- Fair competition, no disparaging competitors, no use of unlawfully obtained information.
- Complaints are handled promptly and warranty commitments are honored in full.
VI. RELATIONSHIP WITH EMPLOYEES
- Recruitment, evaluation, promotion, and compensation are based on capability and performance, without discrimination.
- Harassment, violence, and abuse of authority are strictly prohibited; child labor and forced labor are never used.
- Occupational safety is guaranteed and all statutory benefits are paid in accordance with the 2019 Labor Code.
- Employees may not accept personal commissions, use Company assets or information for personal purposes, or work for a competitor without prior approval.
VII. CONFLICT OF INTEREST
Employees and partners must declare in writing any family relationship, ownership interest, or financial benefit connected to the other party in a transaction. A person with a conflict of interest may not take part in the related decision.
VIII. CONFIDENTIALITY OF INFORMATION AND ASSETS
Customer data, selling prices, formulas, product molds, accounting data, and internal management systems are protected. No information may be copied or transferred outside the Company without approval.
IX. LEGAL AND ENVIRONMENTAL COMPLIANCE
ICD Vietnam complies with laws on tax, customs, competition, intellectual property, and the environment, and prioritizes recycled materials and lower emissions in the production of plastic pallets and packaging.
X. REPORTING VIOLATIONS AND SANCTIONS

- ICD Vietnam keeps the identity of every reporter strictly confidential and does not tolerate retaliation of any kind.
- Sanctions: employees who violate this Code face disciplinary action up to termination of their labor contract; partners who violate it face order cancellation, termination of cooperation, suspension, compensation for damages, and referral to the competent authorities where criminal conduct is indicated.
